УДОСКОНАЛЕННЯ СИСТЕМИ КОРПОРАТИВНОГО УПРАВЛІННЯ В УКРАЇНСЬКИХ КОМПАНІЯХ ЗА УЧАСТЮ ІНОЗЕМНОГО ІНВЕСТОРА
Анотація
У статті одним із ключових чинників забезпечення високої конкурентоспроможності компанії на ринку визнано ефективну систему корпоративного управління. Наголошено, що поява інституціонального інвестора у складі власників бізнесу помітно ускладнює всю систему корпоративного управління в холдингу, а також процес прийняття рішень у різних структурних одиницях бізнесу, що не завжди є економічно виправданим. Здійснено огляд літературних джерел з питань сутності та основного призначення корпоративного управління в компаніях. Визначено, що бажаним процесом для інвестора вбачається можливість участі в узгодженні рішень, що приймаються, ще на етапі їх обговорення. Для таких цілей інвестор, зазвичай, створює управляючу компанію. Запропоновано здійснити легітимізацію статусу операційних компаній та рішень їх наглядових рад, що може бути досягнуте за рахунок наступних заходів: отримання операційною компанією 1—3% частки у статутному капіталі активів, що нею управляються; оформлення рішень наглядової ради операційної компанії у вигляді ініціації питання на розгляд загальних зборів учасників (акціонерів) чи наглядової ради активів, що нею управляють. Запропоновано чотири варіанти процесу прийняття рішень за участю іноземного інвестора. Для кожного з варіантів розроблено алгоритми спільного прийняття рішень за участю інвестора.

IMPROVING THE CORPORATE GOVERNANCE SYSTEM IN UKRAINIAN COMPANIES WITH THE PARTICIPATION OF A FOREIGN INVESTOR
Summary
The article recognizes an effective corporate governance system as one of the key factors in ensuring the company's high competitiveness in the market. It is emphasized that the emergence of an institutional investor in the business owners significantly complicates the entire system of corporate governance in the holding, as well as the decision-making process in various structural units of the business, which is not always economically justified. A review of literature sources on the nature and main purpose of corporate governance in companies. It is determined that the desired process for the investor is the opportunity to participate in the coordination of decisions taken at the stage of their discussion. For such purposes, the investor usually creates a management company. It has been found that in large companies the principles of corporate governance are only partially followed, as most decisions are made in the governing bodies of operating companies, and then simply transmitted to investors — asset owners in the form of ready-made decisions. Accordingly, it is quite difficult to legitimize the decision-making process in operating companies, to divide the powers between them and the management of production assets to ensure the investor's ability to take an active part in making such decisions. In this regard, the article proposes to legitimize the status of operating companies and the decisions of their supervisory boards, which can be achieved through the following measures: the operating company receives 1-3% stake in the authorized capital of assets managed by it; execution of decisions of the supervisory board of the operating company in the form of initiating the issue for consideration by the general meeting of participants (shareholders) or the supervisory board of the assets that manage it. Four variants of the decision-making process with the participation of a foreign investor are proposed. The first option assumes that all decisions are made at the level of the operating company, and on the assets, these decisions are only made. The second option involves a three-tier system of decision-making and execution with the participation of the supervisory board of the management company. The third option involves "artificial" raising some decisions to the level of the investor. The fourth option involves a consolidated business process of making and making decisions in business for operating companies that run their own business. Algorithms of joint decision-making with the participation of the investor have been developed for each of the options.
